Legal Associate (debt & equity capital markets)

Responsibilities:
- Prepare advice on various aspects of Russian securities market legislation;
- Draft, review and negotiate loan facility agreements;
- Draft, review and negotiate asset-backed securities issuance and contractual documentation;
- Draft Eurobond/IPO/SPO issuance documentation;
- Conduct limited due diligence in Regulation S/Rule 144A offerings;
- Provide general transaction support (draft/review corporate approvals, collect CPs/CSs, etc.).

Requirements:
- 3-5 years of PQE within legal consulting;
- Focus on debt & equity capital markets (tender offers / consent solicitations / scheme of arrangement);
- Ability to coordinate various parties, including trustees, clearing systems, tabular agents, etc.;
- Thorough knowledge of foreign law governed securities documents, including covenant packages under securities transactions and ability to negotiate them;
- Fluent English and excellent drafting skills is a must;
- Excellent communication skills, a team-player;
- Ability to undertake and manage complex tasks.
